End User License Agreement

This End User License Agreement ("EULA") is between you ("Licensee") and FCP Solutions ("we", "us", or "our"), and governs your use of the Peerless HubSpot CMS theme and any related source code, templates, modules, and documentation (the "Theme").

By downloading, installing, or using the Theme, you accept this EULA. If you do not accept it, do not use the Theme.

1. Grant of License

Subject to payment in full and your compliance with this EULA, we grant you a perpetual, worldwide, non-exclusive, non-transferable license to use the Theme according to the tier you purchased:

  • Developer. Install and use the Theme on HubSpot accounts you own or manage on behalf of your clients. Includes the Theme files as delivered at the time of purchase.
  • Client. Everything in Developer, plus access to the private source repository and the updates, modules, and fixes released to it.
  • Onboarding. Everything in Client, plus the done-for-you setup and development work described in your order.

2. Permitted Use

You may modify the Theme, build derivative pages and templates with it, and deploy it to production HubSpot accounts for yourself or for clients. There is no per-seat or per-site fee within your licensed tier.

3. Restrictions

You may not:

  • Resell, sublicense, rent, or redistribute the Theme, or any substantial portion of its source code, as a standalone product or as part of a competing theme, template, or module library.
  • Share private repository access, license keys, or download links with anyone outside your organization.
  • Remove or obscure copyright or attribution notices in the source.
  • Represent the Theme as your own original work when offering it for sale.

Delivering a finished website to a client using the Theme is expressly permitted and is not redistribution.

4. Ownership

The Theme is licensed, not sold. FCP Solutions retains all right, title, and interest in the Theme, including all intellectual property rights. Any modifications you make remain subject to this EULA.

5. Updates

Developer licenses include the Theme as delivered at purchase. Client and Onboarding licenses include access to future updates for as long as the repository access remains active. We are not obligated to release any particular update or to maintain compatibility with future HubSpot platform changes.

6. Third-Party Components

The Theme may include or depend on third-party components, including HubSpot's default modules and fonts, which remain subject to their own licenses.

7. Support

Support is provided at the level described for your tier at the time of purchase. Support does not include custom development unless purchased separately.

8. Termination

This license terminates automatically if you materially breach it, in particular the restrictions in Section 3. On termination you must stop using and delete all copies of the Theme source. Sites already delivered to end clients under a valid license may remain in operation.

9. Disclaimer of Warranties

The Theme is provided "as is", without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You are responsible for testing the Theme in your own environment before deploying it.

10. Limitation of Liability

To the fullest extent permitted by law, our total liability under this EULA will not exceed the license fee you paid. We will not be liable for lost profits, lost data, or any indirect or consequential damages.

11. Governing Law

This EULA is governed by the laws of [STATE / JURISDICTION — TO BE COMPLETED], without regard to its conflict of law rules.
